HISTORY
OF ISPAT KARMET INTERNATIONAL N.V.
1976 - Ispat Indo, a member of The LNM Group,
is established in Indonesia as a greenfield site,
with a planned production of 65,000 metric tonnes
of bars per annum.
1981 - Ispat Indo constructs a steel melt shop
to produce up to 300,000 tonnes per annum (tpa)
of its own billets.
1989- Caribbean Ispat Limited, a subsidiary of
Ispat International N.V., is formed to lease the
Iron & Steel Company of Trinidad & Tobago,
a modern, technologically advanced steel complex.
Caribbean Ispat is profitable in its first year,
following a strategy designed to increase production,
improve processes, reduce costs, improve product
mix and broaden customer base. This marks the
beginning of a global acquisition strategy to
become the world's largest steel producer using
the integrated mini-mill process, which reduces
reliance on externally sourced raw materials.
1992- As part of the privatisation of the Mexican
steel industry, Sibalsa, Mexico's third largest
steel producer, is acquired and renamed Ispat
Mexicana. Ispat Mexicana was built by the government
at a cost of $2.2 billion, and comprises a highly
modern, integrated mini-mill complex. At the time
of takeover, production is at 25% of capacity.
The company also acquires strategic non-core interests,
such as PMT, a welded line pipe mill with a capacity
of 330,000 tpa, a 50% interest in Sersiin, which
manages captive port facilities, and whose services
include distribution of electricity and production
of lime and industrial gases, as well as a 50%
interest in Pena Colorado, with an iron ore production
capacity of 3 million tpa. Subsequent operating
improvements achieve a dramatic turnaround, making
Ispat Mexicana one of the world's lowest cost
and highest quality slab producers.
1994- Sidbec-Dosco, Canada's fourth largest steel
producer, is acquired from the Government of Quebec
and renamed Ispat Sidbec Inc. Following the restarting
of its mothballed direct reduced iron ("DRI")
plant with a capacity of 500,000 tpa, and the
introduction of other cost and quality drives,
Ispat Sidbec quickly returns to profitability.
The assets of Caribbean Ispat, now the largest
non-oil industrial complex in the Caribbean, are
acquired.
1995- Hamburger Stahlwerke, Germany's fourth largest
wire rod producer, is acquired, purchased for
its world renowned expertise and innovations in
the integrated mini-mill process and wire rod
rolling. Ispat Hamburger Stahlwerke later returns
to profitability, following the increased production
of high grade steels and cost reduction. Ispat
International Limited and Ispat Shipping Limited
are formed in the UK to provide techno-commercial
services to the Group, and to meet its growing
shipping requirements and provide value-added
services to customers. Ispat International buys
four dry cargo panamex vessels and a fifth one
in 1997. Ispat Mexicana and Caribbean Ispat begin
a $600 million capex programme to enhance their
competitive position and increase capacities.
Ispat Indo implements capacity expansion to increase
steel and wire rod capacities to 650,000 tpa each.
The LNM Group acquires the assets of a 5 million
tpa blast-furnace steel plant in Kazakhstan, renamed
Ispat Karmet Jsc, one of the world's largest single-site,
integrated steel plants. In keeping with the Group's
track record, Ispat Karmet Jsc is transformed
in its first year and becomes profitable.
1996- Ispat International acquires Irish Steel,
the country's only steel producer from the Irish
government, which is renamed Irish Ispat Limited.
Ispat Karmet Jsc acquires a 435 megawatts power
plant and 15 coal mines to further increase vertical
integration. The mines have established reserves
of 1.7 billion tonnes, which at current levels
of production guarantee supply of the steel plant's
coking requirements for the next
1997- Ispat International N.V. with main steelmaking
operations in Mexico, Trinidad, Canada, Germany
and Ireland, completes a $776 million Initial
Public Offering, the largest in the world steel
industry (excluding privatisations) and lists
on the New York and Amsterdam Stock Exchanges
on August 7.Ispat Mexicana commissions a new 3.5
million tpa pelletiser plant and completes construction
of a new 1.2 million tpa DRI MIDREX (module within
23 months), creating a world record in the commissioning
of new DRI plants.Ispat Stahlwerk Ruhrort and
Ispat Walzdracht Hochfeld, with an annual steelmaking
capacity of 1.7 million tpa, are acquired from
Thyssen AG, positioning Ispat International at
the top end of the quality pyramid in Europe.
Ispat Stahlwerk Ruhrort announces installation
of a 1.3 million tpa billet caster in 1998.
1998- Acquires Inland Steel Company, the fourth
largest steel producer in the U.S., which was
renamed Ispat Inland Inc. The company produces
steel sheet and strip and special quality bar
products at its Indiana Harbour Works and I/N
Tek and I/N Kote for a broad base of customers
in industries including the automotive, appliance,
office furniture and service centres in North
America.
1999- As part of the consolidation of the European
long products sector, Ispat International acquires
Unimetal Group, including Trefileurope and SMR from
Usinor, to become the largest producer of high quality
wire rods in Europe.
2000- Ispat International
is actively implementing a multi-phase effort that
will utilise e-commerce to consolidate its position
in the global steel industry and to build leadership
in the new steel economy. Ispat's vision is that
e-commerce should be applied throughout the organisational
supply chain.
2001 - In February, Dr. Sittard is succeeded
by Malay Mukherjee, Chief Executive Officer of
Ispat Europe, who is currently President and Chief
Operating Officer of Ispat International N.V.
On June 15, Irish Ispat Limited, a subsidiary
of Ispat International N.V. announced the shutdown
of its steelmaking operations in Haulbowline,
County Cork, Ireland and the calling of a creditors
meeting for the appointment of a liquidator. LNM
Holdings N.V., a member of The LNM Group, acquired
70% ownership from the government of Algeria with
respect to ALFASID and certain of its subsidiaries,
renamed Ispat Annaba and the iron ore mines in
Ouenza and El Boukhadra, renamed Ispat Tebessa,
belonging to FERFOS. Ispat Annaba has an annual
crude steel capacity of 1.8 million tonnes. LNM
Holdings N.V. and Authority for Privatisation
and Administration of State Ownership (APAPS),
signed the closing documents for the privatisation
of SIDEX S.A., the integrated steelworks in Galati,
Romania at a signing ceremony held in London on
November 6. Sidex, which represents 4 per cent
of industrial production of Romania, has been
widely regarded as critical to the country's economic
reform.
2002 - At a general shareholder meeting of South
African steel producer Iscor Limited on January
15, shareholders overwhelmingly approved a business
assistance agreement with LNM Holdings N.V. The
agreement is a performance-based partnership between
the two steel companies in terms of which LNM
will provide business assistance to Iscor over
the next three years in exchange for Iscor shares,
provided that certain cost saving thresholds are
met. LNM Holdings N.V. signed the Share Purchase
Agreement with the National Property Fund on June
17, 2002, to acquire Nova Hut, the largest steelmaker
in the Czech Republic. This follows the resolution
passed on June 5, 2002 by the Czech Government
approving the sale of its entire stake in Nova
Hut to LNM Holdings.
