INTRODUCTION

Founded in 1945, the Odebrecht Organization is active in Engineering & Construction, Chemicals & Petrochemicals and Infrastructure & Public Services and participates in Oil & Gas, Tourism and Pulp Manufacturing ventures.
Odebrecht has over 36,000 members working in South America, North America, Africa and Europe. Brazil is its home base.
The ethical and cultural unity of the Organization operations is ensured by the application of the Odebrecht Entreoreunarial Technology a set of principles, concepts and standards developed since Construtora Norberto Odebrecht, the company that gave rise to the Organization, was founded in 1945.


HISTORY

The first member of the Odebrecht family to settle in Brazil was Emil Odebrecht. He arrived in 1856 at the height of German immigration to the Itajaí Valley in the southern state of Santa Catarina.
An engineer educated at the University of Greifswald, Prussia, he played an active role in the demarcation of land, surveying and construction of roadways in southern Brazil. Married to Bertha Bichels, he had 15 children. Emílio Odebrecht, one of his grandchildren and the father of Norberto Odebrecht, helped pioneer the use of reinforced concrete in Brazil.
In 1918, after studying at the Rio de Janeiro Polytechnic, Emílio Odebrecht moved to Recife in Northeastern Brazil. That city was modernizing and expanding, thanks to the development of the sugar economy. The following year, he started his first company in Recife, the Isaac Gondim e Odebrecht Ltda. construction firm. Then, in 1923, he founded Emílio Odebrecht Cia., which built several projects between the two World Wars in the states of Pernambuco, Alagoas, Ceará and Bahia. In 1926, he moved to Salvador, Bahia. When World War II broke out, the supply of construction materials imported from Europe dwindled rapidly, sparking a crisis in the construction sector. Disheartened, Emílio Odebrecht decided to retire. His son, Norberto Odebrecht, replaced him at the helm of the firm in the first half of the 1940`s Corporate Structure.

Odebrecht S.A. is the company that represents and consolidates the Organization. Encompassing the political-strategic sphere of governance, it seeks to add quality to the entrepreneurship of Odebrecht's businesses, foster people's development, and preserve and develop Organization spirit.

ENGINEERING AND CONSTRUCTION

The operations of Odebrecht's Engineering & Construction subsidiaries are consolidated under the leading company Construtora Norberto Odebrecht S.A. and focus on rendering Engineering, Procurement, Construction and Management (EPCM) services.



Their extensive experience in engineering and construction includes buildings, thermal and hydroelectric power plants, nuclear plants, steel mills, naphtha crackers, roads, railroads, ports and airports, as well as mining, sanitation and irrigation projects.
They also provide specialized engineering and construction services for the Oil & Gas sector by building, adapting and operating oil prospecting and production equipment, particularly deep-water production units.

Odebrecht's Engineering & Construction subsidiaries have been present in other countries in South America, North America, Africa and Europe for over 20 years and are Brazil's leading service exporters.

CHEMICALS & PETROCHEMICALS

Introduction

The Group has been present in Chemicals & Petrochemicals for over 20 years.
In the Chemicals & Petrochemicals area, Odebrecht and its partner the Mariani Group in 2001 acquired control of Copene - Petroquímica do Nordeste S.A., the Camaçari Complex's naphtha cracker. Subsidiaries in that sector are being consolidated to create Braskem, making Odebrecht the leading petrochemical group in Latin America.
Braskem has operating units in the Brazilian states of Alagoas, Bahia, Rio Grande do Sul and São Paulo. Today, the Odebrecht Group is South America's leading producer of thermoplastics and Brazil's top chlor-alkali manufacturer.

INFRASTRUCTURE & PUBLIC SERVICES

The Infrastructure & Public Services business area was created in 1997 with the aim of gathering under one umbrella all of the Odebrecht Organization holdings in concession companies active in public services (roadways), energy and sanitation.

HIGWAYS SYSTEM

Strictly speaking, however, the Organization presence in this segments dates back to the 1970s in Bahia through Sinart, a subsidiary that built and managed bus terminals in that state.
Odebrecht's participation in concessions was bolstered in 1989 by the creation of ORL - Operação de Rodovias Ltda., a road management company that focused on opportunities arising from the privatization of Brazilian roadways.
OSI - Odebrecht Serviços de Infra-estrutura is now a leader in the Brazilian road segment through its participation in CCR - Companhia de Concessões Rodoviárias, which manages and operates 1,200-km of roadways in the states of São Paulo, Rio de Janeiro and ParanáIn partnership with other business conglomerates, the Odebrecht Organization invests in concession companies that provide public services in Brazil (transportation and sanitation) and Portugal (roadways).

Created in 1997 and based in São Paulo, Odebrecht Serviços de Infra-estrutura Ltda. (OSI) administers the Odebrecht Organization investments in public service concession.

Created in 1997 and based in São Paulo, Odebrecht Serviços de Infra-estrutura Ltda. coordinates the Odebrecht Organization investments in public service concessions. In the area of Brazilian road concessions, OSI manages Odebrecht's 20% share of the affiliate CCR - Companhia de Concessões Rodoviárias.

Improvements and technological advances
Ponte S.A began projects aimed at reinforcing the metal structure and replacing asphalt pavement with concrete on a 4-km section of the Rio-Niterói Bridge.

SOS

In São Paulo, AutoBAn - Concessionária do Sistema Anhangüera-Bandeirantes introduced technological improvements by launching the operations of the new Operational Control Center, which monitors the Anhangüera-Bandeirantes System with the use of fiber optics (CTFV, Traffic Analyzers and Environmental Monitoring System) and an automatic toll collection system (AVI).

Financing and consolidation

In 2000, CCR completed its organization process. It obtained financing for its operations, consolidated an alliance among business groups and shareholders, and defined its strategy.
AutoBAn obtained long-term loans from the IFC/IDB (USD 161 million) and BNDES (USD 220 million). The EFC/BNDES hailed NovaDutra for meeting its obligations regarding the Project Financing for the venture and authorized payment of shareholders' dividends

Reducing accidents and injuries

For the five concession companies in which Odebrecht invests in Brazil, road improvements and safety measures reduced accidents by 6%, the number of injured by 9% and the number of deaths by 8% in 2000 compared to 1999.

Client Satisfaction: over 85%

The concession companies' work in 2000 garnered high Client approval ratings. Ponte S.A, the concession company that operates the 13.7-km road bridge linking Niterói and Rio de Janeiro, received an 86% Client satisfaction rating in a poll conducted by Enfoque; for NovaDutra, a Marplan survey found approval ratings of up to 89%; a survey conducted by Prospect resulted in approval ratings of approximately 88.42% for Rodonorte.

Outside the organization, Odebrecht's commitment to education is intensified by the Odebrecht Foundation, the Hospitality Institute and sponsorship of cultural initiatives.

For the Odebrecht Organization, individual development essentially occurs on the job.

Therefore, the organization seeks to provide a favorable learning environment in which the daily task of serving Clients is transformed into learning opportunities.
Odebrecht Members learn in two ways: via Education through Work, as their basic schooling, and Education for Work, as a supplement.

ODEBRECHT FOUNDATION

Created in 1965, the Odebrecht Foundation is a private, non-profit institution maintained by the Odebrecht Organization companies.

FOUNDATION

Its aim is preparing youths for life by encouraging them to participate actively in their communities with an autonomous, compassionate and productive attitude.

To achieve this, the Foundation invests in educational programs and the improvement of policies and programs carried out by all sectors of Brazilian society.

In 1990, the Odebrecht Foundation's programs benefited nearly 500,000 adolescents and 12,000 educators throughout Brazil.

ODEBRECHT HOSPITALITY INSTITUTE

The Odebrecht Foundation with the help of 32 governmental and non-governmental organizations founded the Hospitality Institute in 1997.


Its mission is to promote hospitality education and culture, improve the tourist sector and increase its contribution to Brazil's socio-economic development.

Working as an agency that conceives and implements programs and projects, the Hospitality Institute's main focuses are as follows:
creating a widespread demand for better quality services by raising the public's awareness and mobilizing them in regard to the importance of giving good service.
increasing the supply of quality services in this area by educating people who are capable of rendering.
