MESSAGE TO THE BOARD OF DIRECTORS
It is once again with pleasure that we submit the
report describing our Bank's main activities, with
comments on the financial situation as at 31st December,
2001.
1.We have continued to strengthen our presence closer
to our customers, by opening four new branches and
a customer service office within the premises of
Rwanda Revenue Authority, while fine-tuning service
to special customers.
Thus our selected customers that provide major support
for our business are received now at the Prestige
Counter, in a special hall, where we offer them
personalized service according to their individual
needs.
These initiatives have enabled us to achieve a 10%
growth in deposits' volume, which rose from Rwf
22.336 billion to Rwf 24.524 billion during the
year under review.
On the other hand, loans to our customers increased
only mildly by 5.39% to Rwf 16.375 billion as at
31st December 2001.
The excess liquidity was mainly invested in foreign
currency accounts with our correspondent banks abroad
or in inter-bank lending on the local money market.
2. The launching of our Head Office construction
works, with 50% long-term financing from both BRD
((Rwf 500 million) and PTA Bank (Rwf 875 million),
has not affected our financial situation, which
remains quite comfortable.
Our net assets were estimated, at the close of the
year, at Rwf 335 million, which position we plan
to improve by transferring the ownership of some
of our assets to a non-trading real estate investment
company (SCI BCDI IMMO) now being set up.
3. The money market red tape has not helped to
take full advantage of the structural excess liquidity
(about Rwf 4 billion) in inter-bank operations and
the cost of our resources (Rwf 1.16454 billion)
is accordingly considered abnormally high.
In another development, the profitability of our
operations in the year under review was affected
by considerable under-valuation of our foreign exchange
proceeds, due to non-inclusion of Rwf 698.22 million
accruing from foreign currency revaluation gains
which are normally acceptable as accounting income.
Further, we should point out here that appropriation
of additional reserves amounting to Rwf 851.41 million
during that financial year was largely covered,
as a total of Rwf 936.73 million was recouped during
our campaign to recover non-performing loans, which
activity will remain a top priority in the next
two financial years.
4. The implementation of recommendations of the
National Commission set up at BNR initiative, with
the aim of allowing banks to hasten procedures in
the recovery of non-performing loans, will enable
us to streamline better the management of bad debts.
The review under way concerning foreign exchange
regulations could lead to improvement of our foreign
exchange products in the coming years, for it is
hoped that this exercise will specify under what
conditions foreign exchange revaluation gains can
be included in our operating income.
Further, we wish to inform you that we have started
to bring up to date all internal procedures of our
Bank, so that very soon we should be able to enhance
the clarity of our accounting system, thereby optimising
returns on our structural operations.
5. We wish to thank very sincerely all our customers
for the confidence they have shown in our Bank over
the last seven years.
We also take this opportunity to express our gratitude
to our Board Members as well as our entire staff
whose dynamism and dedication have up to now helped
the Bank to achieve good performance.
We remain convinced that the initiatives taken by
the country's authorities to promote modern means
of cheque clearance transactions through the creation
of the Inter-Bank Electronic Clearing House (SIMTEL)
and the measures aimed at hastening the recovery
of non-performing loans, which are about to be adopted,
will indeed help improve further our Bank's financial
situation in the coming years.

Ernst & Young have expressed their willingness
to continue in office in accordance with the Banking
Act.
STATEMENT OF DIRECTORS' RESPONSIBILITIES
The Banking Act issued by the National Bank of
Rwanda (BNR) requires the directors to prepare
financial statements for each financial year,
which give a true and fair view of the state of
affairs of the Bank as at the end of the financial
year and of its operating results for that year.
It also requires the directors to ensure the Bank
keeps proper accounting records, which disclose
with reasonable accuracy at any time the financial
position of the Bank. They are also responsible
for safeguarding the assets of the Bank.
The directors accept responsibility for the annual
financial statements, which have been prepared
using appropriate accounting policies supported
by reasonable and prudent judgements and estimates,
in conformity with generally accepted accounting
practice and in the manner required by the Banking
Act. The directors are of the opinion that the
financial statements give a true and fair view
of the state of the financial affairs of the Bank
and of its operating results. The directors further
accept responsibility for the maintenance of accounting
records which may be relied upon in the preparation
of financial statements, as well as adequate systems
of internal financial control.
Nothing has come to the attention of the directors
to indicate that the Bank will not remain a going
concern for at least the next twelve months from
the date of this statement.
REPORT OF THE INDEPENDENT AUDITORS
TO THE MEMBERS OF
BANK OF COMMERCE, DEVELOPMENT AND INDUSTRY LIMITED
(BCDI).
We have audited the financial statements set out
on pages 5 to 19, which have been prepared on
the basis of the accounting policies set out on
pages 9 and 10. We obtained all the information
and explanations which we considered necessary
for our audit.
RESPECTIVE RESPONSIBILITIES OF THE DIRECTORS
AND THE INDEPENDENT AUDITORS
As stated on page 3, the directors are responsible
for the preparation of financial statements which
give a true and fair view of the state of affairs
of the bank and of its operating results. Our
responsibility is to express an independent opinion
on the financial statements based on our audit
and to report our opinion to you.
BASIS OF OPINION
We conducted our audit in accordance with International
Standards on Auditing. Those standards require
that we plan and perform the audit to obtain reasonable
assurance that the financial statements are free
of material misstatement. An audit includes examining,
on a test basis, evidence supporting the amounts
and disclosures in the financial statements. It
also includes assessing the accounting principles
used and significant estimates made by the directors,
as well as evaluating the overall financial statements
presentation. We believe that our audit provides
a reasonable basis for our opinion.
OPINION
In our opinion, proper books of account have been
kept and the financial statements, which are in
agreement therewith, give a true and fair view
of the state of the financial affairs of the bank
at 31 December 2001 and of the profit and cash
flows for the year then ended and comply with
International Accounting Standards and the Banking
Act.
The Financial statements are prepared on the historical
cost basis of accounting modified by the revaluation
of certain assets.
b. Investments
Long term investments are stated at cost less
provision for any permanent diminution in value.
Investment security is stated at cost, plus interest
due in the current year.
c. Fixed Assets and Depreciation
Fixed assets are stated at cost, less accumulated
depreciation. Depreciation is calculated on the
reducing balance basis, at annual rates estimated
to write off carrying values of the assets over
their expected useful lives. The annual depreciation
rates in use are:
Rate.
Buildings 15-45%
Furniture, fittings and equipment 10-50%
Motor vehicles 50%
Computer equipment 50%
Computer software 20% (straight line basis)
d. Provision for doubtful debts
Specific provision is made in respect of advances
considered to be doubtful of recovery according
to National Bank of Rwanda (BNR) Instruction No.
03/2000.
The directive requires provisions to be made as
follows:
In arriving at the amount of the specific provisions,
consideration has been taken of securities offered
against the advances. The policy adopted by the
Bank is to consider as good security properties
for which applications have been lodged for registration
of mortgages with the Kigali City Council, whether
or not such registration has taken place at the
time of approval of the financial statements.
Although this policy departs from the requirements
of BNR instruction Nº 03/2000 (which specifies
that only registered mortgages should be considered
as good security), the Directors are of the opinion
that delays in the processing of documentation
at Kigali City Council should not negate the values
of properties lodged for registration.
NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2001
e. Foreign currency transactions
Transactions during the year are converted into
Rwandese Francs at rates ruling at the transaction
dates. Assets and liabilities at the balance sheet
date which are expressed in foreign currencies
are translated into Rwandese Francs at rates ruling
at that date. The resulting differences from conversion
and translation are dealt with in the profit and
loss account in the year which they arise.
f. Retirement Benefit costs
The bank contributes to a statutory defined contribution
scheme, the CSR. Contributions are determined
by local statute and are currently limited to
5% of the total of employees' basic salary and
house allowance.
The bank's contributions to the above scheme are
charged to the profit and loss account in the
year in which they relate.
g. Taxation
Current taxation is provided for on the basis
of the results for the year as shown in the Financial
statements, adjusted in accordance with the prevailing
tax legislation as provided by the Rwanda Revenue
Authority. Deferred taxation is provided using
the Liability Method, for all temporary differences
arising between the tax bases of assets and liabilities
and their carrying values for financial reporting
purposes.
Deferred tax assets are recognised for all deductible
temporary differences, carry forward of unused
tax losses and unused tax credits to the extent
that it is probable that future taxable profits
will be available against which the deductible
temporary differences, unused tax losses and unused
tax credits can be utilised.
h. Revenue recognition
i. Interest on advances, bills discounted and
deposits is accounted for as it accrues. Interest
income is not recognised where recoverability
of the advances is uncertain.
ii. Commissions charged on letters of credit and
letters of guarantee are credited to income at
the time of the transaction.
iii. All other income is recognised in the period
in which it is earned.
i. Contra Accounts
Contra accounts are not included in assets and
liabilities. Margins held against contingent risks,
such as letters of credit and guarantees, are
included in customer deposits.
The long term investment is unquoted and has been
stated at cost.
ii. Investment Security
During the year 2000, the Board of Directors ratified
a resolution to convert two foreign denominated
advances into an investment security attracting
an annual interest of 14% and a fixed annual repayment
of Frw 955 million. An agreement was signed on
3 October 2000 to this effect. The Security is
recorded at cost, plus interest due in the current
year.
The cost of the fully depreciated/amortised assets
held by the Bank is Frw 42,360,868 (2000- Frw
42,360,868). Had these assets been depreciated,
the notional depreciation would be Frw 42,360,868
(2000- Frw 42,360,868).
6. CUSTOMER DEPOSITS
The Extraordinary General meeting held on 25 April
2001 approved capitalisation of revenue reserves
by way of a bonus issue. This resulted in the
creation of an additional 22,000 ordinary shares,
bringing the total number of shares in issue to
63,502 ordinary shares ranked pari passu.
i. Statutory Reserves
In compliance with article 21 of the Banking Act,
the bank transferred 10% of its profit after tax
to a statutory reserve.
ii. Special Reserve
In compliance with Section 65 of the fiscal regulation,
the bank transferred 20% of its profit after tax
to a special reserve (taxation reserve).
The calculation of Earnings Per Share (EPS) is
based on the after tax profit, less amount transferred
to statutory reserves and hence not distributable
to shareholders, divided by the number of ordinary
shares issued at year end which stood at 63,502.
14. DIVIDENDS PER SHARE
The calculation of Dividends Per Share (DPS) is
based on dividends declared, divided by the number
of fully paid ordinary shares ranking for dividends.
These have Nil value since no dividends have been
declared in 2000 and 2001.
Dividends payable are not accounted for until
they have been ratified at the Annual General
Meeting, which is held after the balance sheet
date. No dividends have been declared for the
last two years.
15. CASH AND CASH EQUIVALENTS
For the purposes of the cashflow statement, the
year end cash and cash equivalents have been adjusted
by Frw 109,101,411 (US$. 238,262.42) which represents
funds blocked from repatriation in the Democratic
Republic of Congo. No provision has been made
on this amount, as the Directors are optimistic
that the funds will be recovered.
16. CAPITAL COMMITMENTS
The Bank is involved in a proposed venture to
put up a 9 storey building in Kigali which will
also serve as the bank's headquarters. Capital
commitments approved and contracted for as at
2 March 2002 amounted to Frw 2.86 billion.
Due to the inherent nature of the transactions
entered into with customers, it is not practicable
to estimate with reasonable certainty the amounts
that will crystallize, if any, in foreseeable
future.
b) Disputed Tax
Rwanda Revenue Authority has a claim of tax arrears
against the bank amounting to Frw. 283,856,626.
However, the bank has disputed this balance and
has consequently lodged a tax appeal against the
Tax Authority.
No provision has been made on this amount in the
financial statements, as it is not practicable
to estimate with reasonable certainty the amounts
that will crystallise on settlement of the appeal.
c) Legal cases
The bank is involved in a number of cases against
it, which are yet to be comprehensively determined
by the judicial courts. Due to the inherent nature
of the cases, no provision has been made in the
financial statements, as it is not practicable to
estimate with reasonable certainty the amounts that
will crystallise in the foreseeable future.
18. RELATED PARTY
TRANSACTIONS
a. Loans to Shareholders
Included in loans and advances is an amount of Frw
3,251,916,410 (2000 - Frw 1,752,394,060) disbursed
to shareholders and to enterprises where they have
interest. Where necessary, provisions have been
made on these loans in accordance with the regulations.
Where necessary, provisions have been made on the
net exposure of these advances in accordance with
the policies outlined in Note 1 (d) to the financial
statements.
b. Directors Remuneration
A listing of the members of the Board of Directors
is shown on page 2 of the Annual Report. In 2001,
the total remuneration of the directors amounted
to Frw 8,000,000 (2000 - Frw 15,000,000).
19. SEGMENT INFORMATION
Business segments:
The company's main business is provision of corporate
and retail services. The core business accounts
for more than 99% of the total income of the Bank.
There are therefore no material distinct business
segments to necessitate detailed disclosures.
Geographical segments:
All the Bank's branches operate within Rwanda, and
are controlled from the head office in Kigali.
The revenue from the branches is less than 10% of
the total income of the bank and thus further disclosures
have not been made on the basis of the geographical
spread of the branches.
20. BUSINESS RISK
In line with the Bank's core business of providing
corporate and retail banking services, dealings
in various foreign currencies exposes it to the
inherent risks associated with the banking sector
including the foreign currency market. The Bank
holds foreign currency reserves to hedge against
such risks.
21. COMPARATIVES
Where necessary, comparative figures have been adjusted
to conform with changes in presentation in the current
year.
22. INCORPORATION
The Bank is incorporated and domiciled in Rwanda.
23. CURRENCY
The Financial statements are presented in thousands
of Rwandese Francs (Frw 000).
24. EMPLOYEES
The number of employees at the end of the year was
245 (2000-237).

historiques
c. Investissements
ans.
d. Provision pour créances douteuses
Les provisions spécifiques sont constituées
pour toutes les créances dont le recouvrement
est douteux conformément à l'Instruction
03/2000 de la Banque Nationale du Rwanda
L'Instruction exige que les provisions soient
constituées comme suit :
Description Classe Provision
%
Actifs courants 1 0
Actifs à surveiller 2 0
Actifs douteux 3 20
Actifs litigieux 4 50
Actifs contentieux 5 100
durant laquelle elles surviennent
h. Réalisation des produits
i. Les intérêts sur prêts,
effets escomptés et dépôts
sont comptabilisés quand ils sont perçus.
Les intérêts ne sont pas comptabilisés
lorsque le recouvrement des crédits est
incertain.
ii. Les commissions sur les crédits et
les remises documentaires sont comptabilisées
à la date de la transaction.
iii. Les autres produits sont comptabilisés
lorsqu'ils sont perçus.
i. Compte d'ordre
L'investissement à long terme n'a pas été
coté à la bourse et a été
évaluée au coût.
ii.
gratuites. Cela a créé des actions
additionnelles de 22.000 actions ordinaires. Ceci
a augmenté le nombre total des actions
émises pour le porter à 63.502 actions
ordinaires.
Le calcul du bénéfice par action
est basé sur le bénéfice
après impôt, moins les transferts
aux réserves légales et le nombre
des actions de 63.502.
